Terms of Service and Conditions of Engagement (2026)

Acceptance of Terms

By accepting a proposal, quote, or service offering from 2JData, LLC (“2JData,” “Provider,” “We,” “Us”), the Client (“Customer,” “You”) expressly acknowledges, understands, and agrees to be legally bound by the terms and conditions set forth in this document (the “Agreement”). Acceptance may occur through any of the following means: execution of an electronic or physical signature, verbal authorization, or written confirmation via email. No physical or electronic signature is required for acceptance; any form of acknowledgment or authorization shall constitute a binding agreement and shall have the same force and effect as a signed contract.


Annual and Monthly Services Contract Policy

For services delivered under a monthly or annual recurring services agreement, the Client agrees to maintain the contract for the full stated term. In the event the Client elects to terminate services prior to the expiration of the agreed contract term for any reason whatsoever, including but not limited to convenience, budgetary constraints, or changes in business operations, the Client shall be immediately liable for payment of all remaining monthly fees due for the entirety of the contract term.

All outstanding balances, including the accelerated remaining contract value, must be paid in full prior to the termination of services, removal of systems under management, revocation of administrative credentials, or transfer of access rights. 2JData reserves the right to withhold system credentials, documentation, administrative access, backups, and configuration details until all financial obligations have been satisfied.

A written notice of termination is required no less than thirty (30) days prior to the requested cancellation date. During this notice period, the Client remains fully responsible for all services rendered and invoices issued. If the 30-day notice period extends into a subsequent billing cycle, the Client agrees that the additional month’s invoice shall be due and payable in full.


Past Due Accounts, Late Payments, and Collections

Any invoice not paid within the agreed payment terms shall be considered past due. Past due balances are subject to a recurring monthly finance charge, calculated at the maximum rate permitted by applicable law. Failure to remit payment may result in service suspension, restriction of support, or termination of services at 2JData’s discretion.

The Client agrees to reimburse 2JData for all costs incurred in the collection of overdue amounts, including but not limited to reasonable attorney’s fees, court costs, collection agency fees, and administrative expenses. Such costs shall be added to the outstanding balance and shall be immediately due and payable.


Professional Services, Training, and Hardware Returns

Professional services, consulting, project work, and training services not expressly included within the Client’s managed services tier are billed separately at 2JData’s standard professional services rates in effect at the time the services are rendered.

Hardware purchases are subject to manufacturer and distributor return policies. Returns of new or unopened hardware may be subject to a restocking fee of up to thirty-five percent (35%), and certain items may be deemed non-returnable. 2JData makes no guarantee that any return will be accepted once an order has been placed or fulfilled.


Warranty Disclaimer and Limitation of Liability

2JData provides a limited thirty (30) day warranty on completed project work, commencing on the date of installation or delivery. This warranty is limited solely to defects directly attributable to workmanship performed by 2JData. After the expiration of this warranty period, 2JData shall have no liability for failures, damages, or losses arising from hardware defects, third-party software, manufacturer issues, environmental conditions, or subsequent system changes.

To the maximum extent permitted by law, 2JData shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, loss of business, or loss of revenue, even if advised of the possibility of such damages.


2026 Service Model Updates and Modifications

Effective January 1, 2026, the following updates apply to the 2JData Managed Services offering:

  • Administrative Technician Rates
    Specialized Administrative Technician services have been introduced. These rates are billed at an additional $25 per hour above the standard technician rate, varying based on the Client’s selected 2JData membership tier.
  • Definition of Administrative Technician
    An Administrative Technician is defined as a 2JData Owner, Senior Executive, Upper Management Personnel, or Senior Network Administrator.
  • Priority Service Option
    Clients may request Administrative Technician services for expedited resolution or complex issues. Clients may alternatively elect to wait until a standard technician becomes available, at which time standard rates will apply.
  • Monthly Tier Adjustments
    Monthly service tier structures are being revised to include a new “All Inclusive Remote” tier.
  • All Inclusive Remote Tier
    This tier includes all standard 2JData managed services with the addition of unlimited remote support sessions. This tier expressly excludes onsite assistance, which will be billed at standard onsite rates, as well as Microsoft products, email products, and multi-factor authentication services, which remain billed separately.
